This is the base-only model agreement, version 2026-09-23-v1. The signing page generates the exact text and total for the buyer’s own details and selected add-ons. No agreement exists until the buyer signs and the seller countersigns.
UTILITIES BOT SOURCE LICENCE AND OPTIONAL SETUP AGREEMENT Version 2026-09-23-v1 Seller: Dion McKew, England, United Kingdom. Buyer: [buyer legal name], [country and state]. Base source licence: USD $200. Optional setup and 12-week support: not selected. Voice recording add-on: not selected. Self-hosted HTML transcript add-on: not selected. Total due before delivery: USD $200. 1. What is supplied. After both parties sign and the Seller confirms cleared payment, the Seller will provide one copy of the general-purpose Utilities Bot base source package and its setup and command guides. The base source includes moderation cases and commands (warn, timeout, kick, ban and unban), private support tickets with TXT transcripts, member reports, basic blocked-host and message-rate automod, welcome messages and autorole, reaction roles, announcements, giveaways, owner setup commands, and local SQLite records. This is the agreed base feature manifest. It excludes the Seller's private configuration, credentials, databases, logs, customer data, original branding, server-specific staff hierarchy and sprite workflows, unselected add-ons, and any feature not listed here. Standard ticket transcripts are TXT files. 2. Licence and ownership. The Seller retains ownership of the original code. The Buyer receives a non-exclusive, perpetual licence to run and modify one installation for the Buyer's own Discord community or organisation. A signed installation licence file binds the supplied package to the Buyer's Discord application and server IDs. The Buyer must not remove the licence check to operate extra installations. The Seller will reasonably reissue the file when the Buyer legitimately moves that installation, after verifying the request; a move does not create a second simultaneous installation. The Buyer may make reasonable private backups and give access to employees or contractors who need it to operate that installation, provided they are bound to keep the code confidential and follow these terms. Third-party packages remain under their own licences. 3. No redistribution. The Buyer must not sell, publish, share, sublicense, transfer, or otherwise distribute the source code or substantial parts of it, including by placing it in a public repository or giving copies to another server operator. Private development tools, including AI coding tools, may be used only where the Buyer has checked that the provider will keep the code confidential and will not publish it or use it to train a model for others; the Buyer remains responsible for that provider's handling. The Buyer must not remove attribution or licence notices required by third-party components. This restriction does not prevent the Buyer from running the bot for their own community or receiving help from the limited employees and contractors described above. 4. Setup responsibility. Unless the optional setup service is selected and paid for, the Buyer is responsible for installing, hosting, configuring, maintaining, securing, and operating the bot, the Discord application, and any connected services. The Seller will supply written setup and command guides. The Buyer supplies their own hosting, Discord application and server access, credentials, domains, and any third-party accounts. The Seller does not supply hosting or pay third-party charges. 5. Optional setup and support. If selected, the Seller will configure and deploy the purchased base bot and any separately purchased add-ons into a Buyer-controlled environment, configure the required Discord application and server settings with the Buyer's cooperation, and perform a startup and feature smoke check. The Buyer must provide timely access and required accounts. The Seller will provide reasonable message-based assistance for installation questions and reproducible defects for 12 weeks after setup completion. New features, redesigns, ongoing hosting, third-party charges, and incidents caused by later Buyer changes are outside this service unless separately agreed in writing. The Seller will confirm the setup completion date in writing. 6. Add-ons. If selected above, the voice recording add-on supplies source and a guide for per-speaker Ogg/Opus audio files and a JSONL attendance log. It does not transcribe speech or provide a mixed audio file. If selected above, the HTML transcript add-on supplies source for a private-link viewer hosted on the Buyer's own infrastructure, alongside the base TXT copies. The Buyer is responsible for recording notices, permissions, storage, retention and applicable law. Seller-hosted transcript pages are not included; any Seller hosting requires a separate written order and recurring charge. An unselected add-on is excluded from the delivery. The Buyer may not enable or receive an unselected add-on by changing a configuration value in the base package. 7. Payment and delivery. The Buyer pays the amount above through a PayPal Goods and Services transaction to the PayPal account designated by the Seller, even if that account is in a different person's name, or through another commercial payment method agreed in writing with the Seller. A cleared payment to that designated account counts toward this purchase once the Seller verifies it. Friends and Family or other personal-transfer payments do not count as payment for this purchase. Signing or returning from a payment page does not confirm payment. The Seller checks the transaction and does not deliver the source package, access credentials, or paid services before cleared payment. The Seller will provide a delivery manifest and a way to download or receive the package after payment confirmation. Any delivery date or refund arrangement must be agreed in writing; mandatory consumer rights remain unaffected. 8. Operation and data. The Buyer is responsible for their server rules, notices, permissions, moderation decisions, backups, and compliance with Discord terms and applicable privacy and recording laws. The Seller will not transfer existing server data, staff records, tokens, or credentials with the source package. If the Seller performs setup, the Buyer should create and retain control of their own credentials; the Seller will use only the access needed for setup. 9. Warranty and liability. The package is supplied with the functionality described in the delivery manifest. The Seller will correct a reproducible failure to match that description reported within 30 days of delivery. No uninterrupted operation or compatibility with future Discord changes is promised. To the extent allowed by law, the Seller's total liability under this agreement is limited to the amount paid under it. Nothing here excludes liability or rights that cannot legally be excluded, including mandatory consumer rights and liability for fraud. 10. Governing law and disputes. This agreement is governed by the law of England and Wales. The parties will first try to resolve a dispute by written discussion. Any court-jurisdiction clause or mandatory consumer protections applicable to a Buyer outside England and Wales are not displaced by this wording. 11. Electronic signing. The parties agree to sign and receive this agreement electronically. Typing a full legal name, confirming the checkboxes, and pressing Sign is intended as the Buyer's signature on the exact version displayed. The signing record stores the agreement text and its SHA-256 digest, the typed name, email, timestamp, and basic request evidence. The Seller must also countersign before this agreement is complete. A downloadable and printable copy of the agreement and signing record will be available to both parties. 12. Authority. Each person signing confirms that they are at least 18 and have authority to enter this agreement for the party named by them.
